License Agreement

This Document is a binding agreement between you and Sassafras Software Inc. ("Sassafras"). By opening the KeyServer diskette package or using the KeyServer software, you are automatically agreeing to all of the terms of this agreement. If you do not agree with the terms of this agreement, do not open the diskette package and do not use the software, instead, return the unopened package and all manuals, documentation, or written materials that are associated with this program to the place where you obtained them for full refund and delete all electronic copies of the software and documentation.

Important notice: The Sassafras KeyServer Package can install a means of usage control and usage logging into common Windows and Macintosh programs. It is the obligation of the licensee to ensure that installation into, and subsequent use of, any computer program is in full compliance with all governing copyright and license agreements. This product is supplied for lawful purposes only and you are not permitted to use it in violation of Federal copyright or State software license enforcement law.

The Sassafras KeyServer Package includes documentation and more than 9 pieces of software including: KeyServer, KeyServer Electronic License Certificate, KeyAccess, KeyConfigure, KeySentry, KeyCheckout, KeyVerify, and KeyAudit (the "Software").

1. Title. This license is not a sale of the Software or any copy thereof. Sassafras retains title and ownership of the Software recorded on the original disk and all copies, regardless of the form or media on or in which the original or any copy may exist. Sassafras retains all rights in the Software and Documentation not specifically granted to licensee.

2. Limited use license. Sassafras, as licensor, grants you, the end-user, as Licensee, a non-exclusive license to use the Sassafras KeyServer Package subject to the following limitations:

(a) The software titled "KeyServer" shall be used on a single computer unit at a single location. The software titled "KeyServer" may reside in the memory of only a single computer at any one time.

(b) The KeyServer "Electronic License Certificate" provides a unique serial number and unique configuration parameters which will enable the KeyServer process to run on either a Windows or Macintosh computer. This "Electronic License Certificate" file and the serial number are authorized for use on one single computer. You may not make copies except for backup purposes. It is the obligation of the licensee to protect this electronic license certificate from theft, from unauthorized use, and from use on more than one single computer.

(c) The software titled "KeyAccess", "KeyVerify", and "KeyAudit" may be duplicated and distributed for simultaneous use by all computers at your local site.

(d) The software titled "KeyConfigure" may be duplicated only as necessary to facilitate the administration of your one KeyServer.

(e) The software titled "KeySentry" may be duplicated only as necessary to facilitate the monitoring of your one KeyServer.

(f) The software titled "KeyCheckout" may be duplicated only as necessary to facilitate the use of keyed programs under the control of your one KeyServer.

(g) The software titled "KeyServer" is licensed with a serial number and a specific configuration to support some number of networked client computers. Your unique configuration and serial number information is contained in an Electronic License Certificate file that accompanies your KeyServer Package. You may not alter the serial number or configuration information either in the disk or memory image of the software.

(h) You may not modify, transfer, reverse engineer, decompile, create other works from, or disassemble the Software. Similarly, you may not copy, modify, adapt, transfer, or create other works based upon the Documentation.

3. Copyright. The Software and any accompanying documentation or written materials (the "Documentation") is copyrighted. You may make one copy of the Software for backup purposes only, provided that you include the Sassafras copyright notice on the backup copy. In addition the Limited Use License above specifies limited site-wide duplication rights for "KeyAccess" and pertinent Documentation, "KeyConfigure", "KeyVerify", and "KeySentry", but No duplication rights for "KeyServer". Other duplication of the Software or the Documentation is strictly prohibited under the United States copyright laws and international treaties.

4. Transfer. You shall not transfer, convey, rent, sublicense, or otherwise distribute the software or Documentation, or any right therein to any person or entity. Any attempt to so distribute the Software or Documentation shall be void.

5. Term. This license is effective until terminated. You may terminate the license at any time by returning the Software and all Documentation to Sassafras and by removing the Software from the memory and disk storage of the computers into which the Software has been transferred. This License will be terminated by the Licensor immediately and without notice in the event you fail to comply with any term or condition hereof. Upon any termination, you will return to Licensor, at your expense, the Software and Documentation and any copies thereof whether or not the copying was authorized.

6. Limited warranty and disclaimer of liability. Sassafras makes no warranties, either express or implied, with respect to the Software or included written materials, its quality, performance, merchantability, or fitness for any particular purpose. The Software and written materials are provided "as is" without warranty of any kind. We cannot guarantee you uninterrupted service or the correction of any errors. The entire risk as to the results and performance of the Software is assumed by you. In no event will Sassafras, or anyone else who has been involved with the creation, production or delivery of this product, be liable for direct, indirect, incidental, or consequential damages arising out of the use of, or inability to use the product even if Sassafras has been advised of the possibility of such damages. Because some states do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. Our liability for any damage to you or any party in the event that any of the above limitations are held unenforceable shall not exceed the license fee you paid, regardless of the form of any claim.

7. Miscellaneous. The validity and performance of this License Agreement shall be governed by New Hampshire State law, except as to copyrights and trademarks that are governed by the United States laws and international treaties. This product is supplied for lawful purposes only and you are not permitted to use it in violation of Federal copyright law or State software license enforcement law. This is the only agreement between you and Sassafras and it can not and shall not be modified by purchase orders, advertising, or other representations by anyone, unless a written amendment has been signed by a Sassafras Software Inc. corporate officer. This License Agreement shall inure to the benefit of Sassafras, its successors and assigns.
